PAYMENT TERMS

Buyer’ s Bank will issue a Cash Backed, Fully Funded Irrevocable, Endorsed, Unconditional, Non-Transferable, Documentary Letter of Credit ( DLC) for one month of shipments. The DLC must be confirmed and guaranteed for payment by a Top 25 World Bank. The monthly shipments shall be payable 100% at sight against presentation of documents in loading port with a Documentary Letter of Credit ( DLC) or TT or MT 103/ 23

PERFORMANCE BOND:
The seller will issue 2% PB upon acceptance of the buyer’ s financial instrument and will revolve the Performance Bond equivalent to the sum of 2% ( two percent) upon each shipment.

INSPECTION:
THE SELLER SHALL INSPECT THE COMMODITY AT THE PORT OF LOADING WITH SERVICES PROVIDED BY SGS or equivalent agency. INSPECTOR SHALL ISSUE AN INSPECTION CERTIFICATE OF THE LOADED QUANTITY AND DETAIL QUALITY FOR EACH SHIPMENT TO CERTIFY THAT THE GOODS ARE IN GOOD ORDER AND CONDITIONS AND CONFORMING TO SPECIFICATIONS STATED HEREIN.

WEIGHING, SAMPLING & ANALYSIS

The Buyer is entitled to provide an independent surveyor acceptable to the Seller present during the sampling, weighing and analysis procedures for the cargo which shall be valid for both parties.

PROCEDURES:

1. Buyer issues fresh ICPO with soft probe or Bank Comfort Letter or Bank Capability Letter ( BCL)
2. Seller send draft contract for review by buyer and buyer redlines and sends draft language of DLC
3. Buyer and Seller signs, seals Final Contract and sends due diligence documents
4. Within 3 days after signing Final Contract, Buyer’ s Bank issues non-operative DLC
5. Within 10 days of verification of DLC, Seller’ s Bank issues a 2% performance bond that shall force the DLC to automatically become operative
6. Shipment shall commence within 45-55 days and will continue until completion of the contract.

Other Matters:

• An ICPO or LOI addressed to the Seller must include a soft probe or Bank Comfort Letter or Bank Capability Letter issued by a Prime World Bank or a process for bank to bank funds confirmation.
• The Buyer is of the understanding that any and all offers or contracts are subject to successful Seller verification of funds and that thus said Seller has written authorization to conduct a soft probe of the Buyer’ s account or initiate a bank to bank process to confirm funds
• Seller can provide detailed documentation of mining licenses, export license, port pad rental, vessel charter negotiations and other due diligence documents after buyer provides redlines on contract with initials and language of DLC. Past chemical test on mines are available. SGS is available and can be sent after LOI.
• This is first shipment by this mining company in Mexico so there are no past B/ L’ s
• Export license for 2012 has been issued and is available for use in immediate shipment. Copy of export license can be sent bank to bank or through some other means other than email

6. Penjual mengirimkan bijih besi untuk pad port untuk pemeriksaan akhir oleh SGS, kapal beban dan atas penyerahan dokumen ke bank, pembayaran 100% dari nilai kargo dibuat.

Hal-hal lain:
• Pembeli adalah pemahaman bahwa setiap dan semua penawaran atau kontrak tunduk pada verifikasi Penjual sukses dana dan yang dengan demikian kata penjual telah menulis otorisasi untuk melakukan verifikasi semua dokumen yang diserahkan

Pembeli dan Penjual tanda-tanda, segel Kontrak Akhir dan mengirimkan dokumen due diligence 4. Dalam waktu 5 hari setelah penandatanganan Kontrak Akhir, masalah Bank Pembeli DLC non-operasi dialihkan 5. PAYMENT TERMS

Buyer’ s Bank will issue a Irrevocable, Endorsed, Unconditional, Auto-Revolving, Transferable, Documentary Letter of Credit ( DLC) within 5 days of signing of the contract that is for 100% of the at sight amount of the contract purchase. This will be a security deposit of an LC held for the term of the contract. The DLC must be confirmed and guaranteed for payment by a Top 50 World Bank. The monthly shipments shall be payable 100% at sight against presentation of documents in loading port with an Auto-Revolving Non-Transferable, Documentary Letter of Credit ( DLC) .

PERFORMANCE BOND:
The seller will issue 2% PB upon acceptance of the buyer’ s financial instrument and will revolve the Performance Bond equivalent to the sum of 2% ( two percent) upon each shipment.

INSPECTION:
THE SELLER SHALL INSPECT THE COMMODITY AT THE PORT OF LOADING WITH SERVICES PROVIDED BY SGS or equivalent agency. INSPECTOR SHALL ISSUE AN INSPECTION CERTIFICATE OF THE LOADED QUANTITY AND DETAIL QUALITY FOR EACH SHIPMENT

WEIGHING, SAMPLING & ANALYSIS
The Buyer is entitled to provide an independent surveyor acceptable to the Seller present during the sampling, weighing and analysis procedures for the cargo which shall be valid for both parties.

PROCEDURES:
1. Buyer issues fresh ICPO with soft probe or bank statement or Bank Comfort Letter or MT 999
2. Seller sends draft contract for review by buyer and buyer redlines and sends draft language of transferable DLC and non-transferable ARDLC
3. Buyer and Seller signs, seals Final Contract and sends due diligence documents
4. Within 5 days after signing Final Contract, Buyer’ s Bank issues non-operative transferable DLC
5. Within 10 days of verification of transferable DLC, Seller’ s Bank issues a 2% performance bond that shall force the DLC to automatically become operative
6. Shipment shall commence within 45-55 days and will continue until completion of the contract.
7. Prior to shipment, buyer issues non-operative non-transferable ARDLC to seller’ s bank
8. Upon sending of shipping documents confirming loading and inspection, non-transferable ARDLC automatically become operative for the length of the contract

Other Matters:
• An ICPO or LOI addressed to the Seller must include a soft probe or Bank Comfort Letter or Bank Capability Letter issued by a Prime World Bank or a process for bank to bank funds confirmation or a bank statement of a process agreed to prior to issuance by seller to prove funds are available.
• The Buyer is of the understanding that any and all offers or contracts are subject to successful Seller verification of funds and that thus said Seller has written authorization to conduct a soft probe of the Buyer’ s account or initiate a bank to bank process to confirm funds
• Seller can provide detailed documentation of mining licenses, export license, vessel charter negotiations and other due diligence documents after buyer provides redlines on contract with initials and language of DLC. Past chemical test on mines are available. SGS is available and can be sent after LOI and NCNDA-IMFPA signed.
• This is first shipment by this mining company in Mexico so there are no past B/ L’ s
• Export license for 2012 has been issued and is available for use in immediate shipment. Copy of export license can be sent bank to bank or through some other means other than email
• Volume of production in the first two months is firm, the ramp up to the final volume will depend on efforts to improve ports in Manzanillo & Lazarro Cardenas and maximum ship tonnage allowed
